These terms of use and current legislation apply to the use of UCB (Pharmas) (“UCB’s”) services on the website www.medcarezone.com (“Medcare Zone”) and its web pages. When you use selected services on the Medcare Zone website, you and UCB are also subject to all guidelines and rules that apply to the services in question and which may be uploaded on the website from time to time. All such guidelines and rules are included in the reference material to these terms of use. These Terms of Use apply to all information, documents, products, trademarks, services and other materials found on the Medcare Zone Website, including links and programs on the Medcare Zone Website (ie the “Content”).
By navigating the Medcare Zone Site, you accept without limitation and reservation these Terms of Use, which include the Medcare Zone Site Privacy Practices and Cookie Policy, and consent to their superseding and superseding all other agreements with respect to the use of the Medcare Zone Site that entered into between you and UCB.
UCB can change these terms of use at any time. The changes will take effect immediately when they are inserted into the text of the Terms of Use web page on the Medcare Zone website. If UCB, in its sole discretion, determines that you have not complied with any of these Terms of Use, UCB may, in addition to asserting other rights and claims for damages, and not in lieu thereof or limited to them, notify you that you have acted in violation of these Terms of Use, delete content and messages you sent, notify the relevant regulatory authorities, disclose messages and content to them and cooperate with the regulatory authorities in all countries and take other measures that UCB deems necessary.
If compliance with these Terms of Use or any material part of them (in particular but not limited to the terms relating to forum and jurisdiction, damages, warranty clause, disclaimer clause and data protection practices) is not permitted by law in the jurisdiction in which you are subject or if it is illegal in your region to visit the Medcare Zone website, you are not authorized to use the Medcare Zone website.
If you nevertheless use the Medcare Zone website, you do so at your own risk.
UCB reserves the right at any time and repeatedly to make changes to the services or content or to suspend the services temporarily or discontinue them for good, by informing or not informing about the matter in advance. UCB is not responsible for damages caused to you or third parties as a result of changes in the services or content or as a result of interruptions in or closure of the services.
The Services or Content, the use of the Services or Content and the user rights to the Services or Content or parts thereof may not be reproduced, duplicated, copied, sold, resold or exploited for commercial purposes.
The contents of the Medcare Zone website are the copyrighted property of UCB or its licensors. However, UCB does not own all trademarks that may be mentioned in the content of the Medcare Zone website. Any copyright or other proprietary notices included in the content you upload must be saved and tracked. It is reasonable to assume that all content displayed on the Medcare Zone website is copyrighted, unless otherwise stated, and the content may not be used without the written permission of UCB, other than as described in these terms of use or in the text of the Medcare Zone website. If you use content visible on the Medcare Zone website, UCB does not warrant that the use does not infringe the rights of third parties that UCB does not own or that are not in UCB’s service.
Except for the right of limited use mentioned above, you are not granted any right or license to any content and no access to any copyrights belonging to UCB or any other party.
The Medcare Zone website may contain information about and references to trademarks, patents, proprietary information, technology, products, processes or other proprietary rights belonging to UCB or other parties. You are not granted a license for or right to the trademarks, patents, trade secrets, technology, products, processes or other proprietary rights in question belonging to UCB or other parties.
UCB respects privacy protection, so the protection of data is very important to UCB. Your data is processed in accordance with current data protection legislation. Further information on how UCB is committed to data protection can be found in our data protection practice, which is referred to in these terms of use.
This service is for healthcare professionals only. UCB does not provide any specific medical advice (for example, treatment advice or diagnoses in certain individual cases, new medical assessments regarding diagnoses or treatments or treatment recommendations).
Although UCB makes every effort to ensure that the content is error-free and up-to-date, there may be material or typographical errors in the content. UBC reserves the right to make changes, corrections and improvements to the content at any time and without particular notice.
UCB makes no warranties, express or implied, regarding the Medcare Zone Website or any information, products, services, goods or other materials provided through the Medcare Zone Website. UCB is not responsible for errors or omissions with regard to the content. Some jurisdictions do not allow the exclusion of implied warranties, so the above disclaimer may not apply to you.
UCB cannot guarantee and does not guarantee that data files downloaded through the Medcare Zone website are not infected and do not contain viruses, worms, trojans or other code that carries sabotaging or harmful properties. You agree that you are solely responsible for implementing such precautions, methods and controls as you determine to be sufficient for the error-free recording and output of data and for maintaining such methods by which lost data can be recovered outside of the Medcare Zone site.
UCB is also not responsible for lost data or other lost material resulting from the use of the Medcare Zone website. UCB does not guarantee that the services will function without interruption, without delay, securely and error-free.
As a user, you agree to be responsible for all damages, expenses, claims, actions, demands, trials (legal and administrative matters), judgments and costs (including reasonable attorneys’ fees) caused by UCB or its employees, managers, workers, agents, informants, partners, advertisers or suppliers or our affiliates, authorized representatives or licensees or their employees, managers or workers based on the claims of a third party related to your use of the Medcare Zone website or your failure to comply with these terms of use or other terms of the Medcare Zone website.
YOU AGREE THAT UCB AND ITS EMPLOYEES, OFFICERS, AGENTS, INFORMANTS, PARTNERS, ADVERTISERS AND SUPPLIERS SHALL NOT BE LIABLE TO YOU OR OTHER USERS OF THE MEDCARE ZONE SITE FOR ANY DIRECT, INDIRECT OR IMPLIED PUNITIVE CONSEQUENCES, AND NOT FOR ANY FINANCIAL OR OTHER CONSEQUENCES DAMAGES, EXPENSES, FINES, PENALTIES, LOSS OF PROFITS, BUSINESS CONSEQUENCES OR INJURY, IN ANY RESPECT, CAUSED THROUGH THE MEDCARE ZONE WEBSITE OR WEBSITES ACCESSED THROUGH IT OR LINKED TO THEM, AND NOT FOR THE CONTENT AND INFORMATION OR CONTENT OF THE MEDCARE ZONE WEBSITE AND INFORMATION WHICH CAN BE ACCESSED THROUGH IT. YOU AGREE THAT YOUR SOLE REMEDY IS TO STOP USING THE MEDCARE ZONE SITE.
Your correspondence with and business dealings through the Medcare Zone Site or with advertisers you find through the Medcare Zone Site, or your participation in the promotion of the Advertisers’ sales, including the delivery of and payment for goods and services to the Advertisers, and other terms, warranties and proposals apply only between you and the advertisers in question. You agree that the Medcare Zone website is not responsible for any damages caused by the actions in question or by the presence of advertisers in question on the Medcare Zone website.
It is prohibited to send or transmit to or from the Medcare Zone website any illegal, threatening, abusive, insulting, immoral, scandalous, inflammatory, pornographic or profane material or requests for assistance, solicitations for signatures, chain letters, pyramid schemes, advertising or other material that may be part of activities that are considered criminal, that may encourage such activities, that may lead to damages or that otherwise violate the law. UCB cooperates with regulatory authorities and complies with court orders under which UCB may be ordered or requested to disclose persons transmitting such information or materials.
If UCB becomes aware that a user has violated any of the present terms of use, UCB can immediately intervene, for example by preventing the user from using the services provided by UCB at any time and without specifically informing the user, as well as seizing information and content that the user has transferred to the Medcare Zone website. UCB is not responsible for damage that these measures may cause.
The user undertakes to bear all damages, expenses, claims, actions, demands, lawsuits (legal and administrative matters) and costs caused to UCB by the use of content in discussions, online discussions, broadcasts, transmissions, discussion forums and other similar materials on Medcare Zone website or related to the use of the content, including consequences that may arise from activities that are contrary to these terms of use. Claims can be made, for example, in respect of damage caused to a trademark, service mark, trade name or copyright, or in respect of patent infringement, weakening of the value of a trademark, intentional damage to any business relationship or contractual relationship, unfair competition, defamation or damaging of reputation, misrepresentations or breach of warranty or other damage to business.
Correspondence and materials, such as data, questions, comments, suggestions and contents like that you send to the Medcare Zone website by e-mail or otherwise are not considered to be and are not treated as confidential or private information but are nevertheless treated in accordance with our data protection practices. Any material you send or transmit becomes the property of UCB or its affiliates and may be used for any purpose, including reproduction, publication, transmission, and publication, and for bulk mailing and other transmission. In addition, UCB is free to use all ideas and concepts, know-how and technology contained in the correspondence you send to the Medcare Zone website for any purpose, such as marketing, manufacturing and developing products using such information.
UCB does not monitor or control the discussions, online discussions, broadcasts, transmissions, discussion forums or similar materials on the Website and is under no obligation to do so. UCB is not responsible for damages arising from the content of this material and not for factual errors, exposure of identity, dangers, profanity, pornography, immoral conduct, injustice, negligence, libel, defamation, defamation or errors appearing in said material on the website. However, UCB reserves the right, at its own discretion, to block or delete communications and material that UCB does not find acceptable.
MESSAGES, ADVICE, OPINIONS AND OTHER INFORMATION IN DISCUSSIONS, ONLINE DISCUSSIONS, BROADCASTS, TRANSMISSIONS, DISCUSSION FORUMS AND OTHER SIMILAR CONTENT SHOULD NOT BE CONSTRUED AS PROFESSIONAL ADVICE OR INSTRUCTIONS.
Use this service only if you know it may interest the recipient. UCB is not obliged to forward suggested articles to the recipient.
UCB does not control third-party websites that contain links to the Medcare Zone website and is not responsible for the content of those websites, nor for the content of other websites linked to the Medcare Zone website. You may create a link to the Medcare Zone website provided that the content of the website is not displayed in frames (frame linking). UCB may at its sole discretion prohibit other links. In such cases, the link must be deleted within two days of receiving a notification about the matter from UCB. UCB is not responsible for damages caused to others due to links leading from the Medcare Zone website to other websites and not because the content of these websites is legal or error-free. UCB is also not responsible for damages that arise because of violations or lack of compliance with third parties’ terms of use or data protection practices.
You represent that you are a healthcare professional and that you have the legal right and ability to enter into this Agreement and use the Medcare Zone Site in accordance with these Terms of Use.
If UCB does not require or monitor strict compliance with any particular term of these Terms of Use, this shall not be construed as a waiver of the right or term. The manner in which the parties conduct business and act among themselves shall never cause any change to any party to any of the terms of these Terms of Use without notice to you.
If a court or jurisdiction deems any of the terms of these Terms of Use to be unenforceable, the terms in question will be limited or reduced to the minimum necessary extent, so that these Terms of Use will otherwise remain valid throughout.
These Terms of Use form an agreement between you and UCB that applies to the subject areas covered herein, and the terms supersede and bind all prior promises and agreements between you and UCB that relate to any of the subject areas in these Terms of Use.
These Terms of Use or any part of them may not be modified except in the manner mentioned elsewhere in the Terms of Use. These Terms of Use supersede any information on the Medcare Zone Site that is inconsistent with or inconsistent with the Terms of Use.
By using the services on the Medcare Zone website, you agree with UCB that all disputes and matters (including non-contractual disputes and tort claims) will be governed, construed and monitored in accordance with local law. Local law is applied to these terms of use.
